These Terms of Service ("Terms") govern access to and use of brandlabsco.com, app.brandlabsco.com, and other websites, applications, portals, digital tools, content, and services operated by BrandLabs Co., LLC ("BrandLabs," "we," "us," or "our").
By accessing or using our Services, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.
Our Services
BrandLabs provides strategic growth, branding, marketing, creative, media, business development, technology-enabled, and advisory services.
Our services may include brand strategy and identity, the Brand 360° Experience™, fractional CMO and CRO services, go-to-market and growth strategy, strategic partnerships and business development, sales enablement, social media and content management, creative services, website development, email marketing and marketing technology, media strategy and buying, podcast and media production, and other related services.
Specific professional services may be governed by a proposal, statement of work, subscription, order, service agreement, or similar written agreement ("Client Agreement").
If an executed Client Agreement conflicts with these Terms regarding services purchased by that client, the Client Agreement will control with respect to that conflict.
BrandLabs Client Hub
BrandLabs may provide clients and authorized users access to the BrandLabs Client Hub at app.brandlabsco.com.
Depending on a client's engagement and a user's permissions, the Client Hub may provide access to projects, milestones, tasks, communications, work requests, files, forms, calendars, deliverables, approvals, proposals, contracts, invoices, payments, subscriptions, reports, and other account resources.
Client Hub functionality may vary according to engagement, subscription, user role, permissions, or service level.
Use of the Client Hub is also subject to the BrandLabs Client Hub Terms of Use & Acceptable Use Policy.
Accounts
Certain BrandLabs Services require an account.
You agree to provide accurate information and maintain the confidentiality and security of your account credentials.
You are responsible for activity occurring through your account or through accounts you authorize for members of your organization.
You may not knowingly provide unauthorized persons with access, impersonate another user, attempt to access another client's information, circumvent security controls, or interfere with the operation or security of the Services.
You should notify BrandLabs promptly if you believe an account or credential has been compromised.
Client Materials
Clients may provide BrandLabs with logos, trademarks, photographs, videos, copy, business information, customer information, documents, credentials, data, creative assets, and other materials ("Client Materials").
Clients retain ownership of their Client Materials.
By supplying Client Materials to BrandLabs, you grant BrandLabs and its authorized service providers permission to store, process, reproduce, modify, transmit, and otherwise use those materials as reasonably necessary to provide the applicable Services.
You represent that you possess the rights and permissions necessary to provide those materials and authorize their use.
BrandLabs Intellectual Property
BrandLabs retains ownership of its pre-existing and independently developed intellectual property, including trademarks, service marks, brands, methodologies, frameworks, systems, processes, workflows, templates, strategies, prompts, tools, know-how, training materials, software configurations, reusable components, and proprietary service methodologies ("BrandLabs Materials").
Nothing in these Terms transfers ownership of BrandLabs Materials unless expressly agreed in writing.
Client Deliverables
Ownership and permitted use of custom client deliverables are primarily governed by the applicable Client Agreement.
Unless otherwise agreed in writing, a client may use final custom deliverables specifically created for that client and paid for in full for its business purposes.
BrandLabs retains ownership of BrandLabs Materials incorporated into or used to create those deliverables.
Third-party materials remain subject to applicable third-party licenses and terms.
Drafts and Working Materials
Unless otherwise agreed in writing, BrandLabs retains ownership of drafts, exploratory concepts, rejected concepts, internal strategy materials, working files, prompts, templates, unused creative concepts, production methods, and other preliminary materials.
Payment for a final deliverable does not automatically transfer ownership of every concept, source file, working file, or preliminary work developed during the creative process.
Artificial Intelligence and Automation
BrandLabs may use artificial intelligence, automation, analytics, and other technology-assisted tools to support research, ideation, strategy, analysis, content development, design, workflow management, reporting, and service delivery.
AI-assisted outputs may contain inaccuracies, omissions, unexpected similarities, or other limitations associated with emerging technologies.
Where client approval is requested, clients are responsible for reviewing and approving final materials before publication or use.
BrandLabs does not represent or guarantee that every AI-assisted output is unique or eligible for copyright, trademark, patent, or other intellectual-property protection.
Client Review and Approval
Clients are responsible for reviewing materials submitted for approval, including factual statements, pricing, claims, names, contact information, legal disclosures, links, and other client-specific information.
Approval provided through app.brandlabsco.com, email, or another mutually accepted communication channel may be relied upon by BrandLabs as authorization to proceed.
Changes requested after approval may constitute additional work and may affect fees or timelines.
Third-Party Services
BrandLabs may use or integrate third-party technology, hosting, artificial intelligence, analytics, payment processing, email marketing, advertising, social media, creative, communications, and other services.
Those services may be governed by separate terms and privacy policies.
BrandLabs is not responsible for third-party outages, algorithm changes, policy changes, account restrictions, platform suspensions, service discontinuation, data availability, or other events outside BrandLabs' reasonable control.
Acceptable Use
You may not use BrandLabs Services to violate applicable law; infringe intellectual-property, privacy, or other rights; distribute malicious software; gain unauthorized access to accounts, data, or systems; interfere with security or operation; impersonate others; scrape protected information without authorization; or engage in conduct that materially harms BrandLabs, its clients, systems, or users.
Confidentiality
Users may encounter confidential or proprietary information through BrandLabs Services.
You agree not to access, use, disclose, reproduce, or distribute confidential information except as authorized.
Confidentiality obligations contained in an applicable Client Agreement remain governed by that agreement.
Fees and Payments
Professional service fees, retainers, subscriptions, deposits, payment schedules, cancellation terms, and reimbursable expenses are governed by the applicable Client Agreement, proposal, invoice, or subscription.
Authorized third-party expenses may be billed separately.
No Guaranteed Results
BrandLabs provides professional expertise, strategy, creative services, execution support, technology-enabled services, and related professional services.
Business and marketing outcomes depend on numerous factors outside BrandLabs' control.
BrandLabs therefore does not guarantee particular revenue, profit, sales, leads, audience growth, search rankings, social engagement, business opportunities, partnerships, media coverage, investment performance, or other commercial outcomes unless expressly guaranteed in a written agreement signed by BrandLabs.
No Regulated Professional Advice
General information available through brandlabsco.com, app.brandlabsco.com, or other BrandLabs resources does not constitute legal, tax, accounting, securities, investment, medical, or other regulated professional advice.
Service Availability
BrandLabs may modify, update, maintain, replace, suspend, or discontinue portions of its digital Services.
We do not guarantee uninterrupted, continuously available, or error-free access.
Disclaimer of Warranties
To the maximum extent permitted by applicable law, BrandLabs websites and digital Services are provided on an "as is" and "as available" basis.
BrandLabs disclaims warranties not expressly stated in a written agreement, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law.
Limitation of Liability
To the maximum extent permitted by applicable law, BrandLabs and its owners, officers, employees, contractors, agents, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, opportunities, goodwill, or data.
Except where prohibited by law or otherwise provided in an executed Client Agreement, BrandLabs' aggregate liability arising from the applicable Services will not exceed the amounts paid by the applicable client to BrandLabs for the specific Services giving rise to the claim during the six months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless BrandLabs and its owners, officers, employees, contractors, agents, and affiliates against third-party claims, liabilities, damages, losses, and reasonable expenses arising from Client Materials you provide, your unlawful use of the Services, your violation of these Terms, or your infringement of another party's rights.
Termination and Suspension
BrandLabs may restrict or suspend access where reasonably necessary because of security concerns, misuse, nonpayment where applicable, violation of these Terms, or termination of the underlying engagement.
Termination of digital access does not eliminate obligations accrued before termination.
Electronic Communications and Signatures
You consent to receiving communications and conducting transactions electronically.
Electronic approvals, acknowledgments, signatures, agreements, and records may have the same legal effect as paper versions to the extent permitted by applicable law.
Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.
Unless an applicable Client Agreement provides otherwise, disputes concerning these Terms will be brought in an appropriate state or federal court located in North Carolina, subject to applicable law.
Changes to These Terms
BrandLabs may update these Terms as our Services, business practices, technology, or legal obligations evolve.
The current version will display the applicable "Last Updated" date. Additional notice or consent will be provided where required by law.
Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain effective to the fullest extent permitted by law.

Marketing information, including communication preferences, event registrations, newsletter subscriptions, campaign engagement, and inquiries.
Information you voluntarily provide, including information submitted through forms, messages, uploads, meetings, surveys, or other communications.
How We Use Information
BrandLabs may use information to provide and manage Services; establish and administer Client Hub accounts; communicate with clients and prospects; manage projects and deliverables; process transactions; respond to requests; provide support; personalize experiences; improve our services and workflows; maintain security; prevent fraud or misuse; analyze performance; conduct marketing activities; comply with legal obligations; and protect BrandLabs, our clients, and others.
BrandLabs Client Hub Information
The Client Hub at app.brandlabsco.com may contain confidential business information, communications, files, approvals, invoices, project information, deliverables, and other client-related materials.
Access is generally limited according to account permissions and client relationships.
Clients are responsible for determining which individuals within their organizations should receive access and for notifying BrandLabs when access should be changed or removed.
Cookies and Similar Technologies
Our websites and service providers may use cookies, pixels, local storage, analytics technologies, and similar tools.
These technologies may help maintain sessions, remember preferences, measure website usage, understand visitor behavior, improve functionality, and evaluate marketing performance.
Where required by applicable law, we will request consent before using non-essential cookies or similar technologies.
Analytics
BrandLabs may use analytics providers to understand how visitors and users interact with our websites and digital Services.
Analytics information may include device, browser, referral, session, approximate geographic, and usage information.
Artificial Intelligence and Automation
BrandLabs may use artificial intelligence and automation tools in providing certain Services.
Where appropriate, information may be processed through technology providers supporting these functions.
BrandLabs seeks to use client information consistently with contractual obligations and applicable privacy and security requirements.
Clients and users should avoid submitting unnecessary highly sensitive personal information through general project communications or AI-enabled workflows unless specifically requested and appropriate safeguards have been established.
Service Providers
BrandLabs may disclose information to service providers that support our business, including providers of client-portal technology, cloud and website hosting, communications, email marketing, analytics, payment processing, project management, creative software, artificial intelligence, automation, accounting, security, and other operational services.
These providers may process information on our behalf according to their contractual obligations and applicable law.
Business Partners and Client-Directed Disclosures
BrandLabs may disclose information to contractors, collaborators, vendors, or business partners when reasonably necessary to perform an authorized client engagement.
We may also disclose information when a client directs or authorizes us to do so.
Legal and Protective Disclosures
BrandLabs may disclose information when reasonably necessary to comply with applicable law, regulation, legal process, or governmental request; enforce agreements; investigate suspected fraud or security incidents; or protect the rights, safety, property, or security of BrandLabs, our clients, users, or others.
Business Transactions
If BrandLabs participates in a merger, acquisition, financing, reorganization, sale of assets, or similar business transaction, information may be disclosed or transferred as part of that transaction, subject to applicable law.
Sale of Personal Information
BrandLabs does not sell personal information for monetary consideration.
If our practices change in a manner that triggers additional disclosure, opt-out, or other obligations under applicable privacy law, this Privacy Policy will be updated accordingly.
Data Retention
BrandLabs retains information for as long as reasonably necessary to provide Services, maintain business and transaction records, fulfill contractual obligations, resolve disputes, enforce agreements, protect legitimate business interests, and comply with legal requirements.
Retention periods may vary depending on the nature of the information and the relationship involved.
Security
BrandLabs uses reasonable administrative, technical, and organizational measures intended to protect information.
No electronic transmission, storage platform, website, or information system can be guaranteed to be completely secure.

BrandLabs is not responsible for the independent privacy practices of third parties. Their respective privacy policies govern information they independently collect.
Children's Privacy
BrandLabs Services are designed primarily for businesses and adults and are not directed to children under 13.
BrandLabs does not knowingly collect personal information from children under 13 through its general Services.
International Users
Information may be processed or stored in the United States or other jurisdictions where BrandLabs or its service providers operate.
Where applicable law requires particular mechanisms or safeguards for international data transfers, appropriate measures will be used.
Changes to This Privacy Policy
BrandLabs may update this Privacy Policy periodically as our Services, technology, vendors, or legal obligations change.

These Client Hub Terms of Use & Acceptable Use Policy ("Hub Terms") govern use of the BrandLabs Client Hub at app.brandlabsco.com.
The Client Hub is operated by BrandLabs Co., LLC and is intended for BrandLabs clients, authorized client representatives, team members, contractors, and other approved users.
These Hub Terms supplement the BrandLabs Terms of Service and any applicable Client Agreement.
Purpose of the Client Hub
The BrandLabs Client Hub provides a centralized digital environment for managing aspects of the relationship between BrandLabs and its clients.
Depending on your engagement and permissions, the Client Hub may provide access to projects, milestones, tasks, work requests, communications, files, calendars, forms, proposals, agreements, invoices, payments, subscriptions, deliverables, approvals, reports, and other resources.
Authorized Access
Access to app.brandlabsco.com is limited to authorized users.
You may access only information and functionality made available to your account.
You may not attempt to access another client's workspace, administrative functionality, restricted information, or another user's account without authorization.
Account Security
Users are responsible for maintaining the confidentiality and security of their account credentials.
You may not knowingly share your account with unauthorized persons.
Notify BrandLabs promptly if you suspect unauthorized access, compromised credentials, or another account-security issue.
Client Administrators and Team Members
A client may authorize multiple employees, representatives, or collaborators to access its Client Hub workspace.
The client is responsible for determining who should receive access and for notifying BrandLabs when access should be added, modified, or removed.
Users accessing the Client Hub on behalf of an organization represent that they are authorized to do so.
Files and Uploads
Users may upload materials reasonably necessary for their BrandLabs engagement.
By uploading materials, you represent that you have the legal right to provide those materials and authorize BrandLabs to process them in connection with the applicable engagement.
Users may not upload malicious code or materials that violate applicable law or another party's rights.
Unless specifically requested, users should avoid uploading unnecessary highly sensitive information such as Social Security numbers, complete payment-card numbers, personal medical records, passwords, or other sensitive credentials.
Client Requests
Requests submitted through the Client Hub do not automatically modify the scope, price, or timeline of an existing engagement.
BrandLabs may determine that a request constitutes additional work and may require approval of additional scope, fees, resources, or timing before beginning that work.
Approvals
The Client Hub may allow authorized users to review and approve deliverables, creative materials, strategies, requests, or other work.
An approval submitted through the Client Hub by an authorized user may be relied upon by BrandLabs as the client's authorization to proceed.
Clients are responsible for establishing internally which individuals have authority to approve work.
Client Responsibility for Final Review
Before approving materials, clients should review relevant factual information, claims, names, contact information, pricing, links, legal disclosures, trademarks, and other client-specific information.
BrandLabs may rely on the client's approval when moving materials into production, publication, distribution, advertising, or other implementation.
Communications
Messages, comments, requests, approvals, and other communications submitted through the Client Hub may become part of the applicable project or client record.
Users are expected to use the Client Hub professionally and may not submit unlawful, threatening, abusive, defamatory, discriminatory, malicious, or otherwise prohibited content.
Internal BrandLabs Information
Certain BrandLabs information is intended solely for internal business use and may not be visible to clients.
Use of the Client Hub does not provide a client or user with a right to access BrandLabs internal notes, internal communications, labor costs, employee or contractor records, proprietary processes, internal strategy discussions, prompts, templates, profitability information, or other internal BrandLabs information.
Intellectual Property
Access to content through the Client Hub does not itself transfer ownership of that content.
Ownership and licensing of client deliverables are governed by the applicable Client Agreement and BrandLabs Terms of Service.
BrandLabs proprietary materials remain the property of BrandLabs.
Confidentiality
Information available through a client's workspace may contain confidential or proprietary information.
Users must not disclose, reproduce, distribute, or otherwise use confidential information except as authorized by the applicable client, BrandLabs, or law.
Prohibited Uses
Users may not use the Client Hub to gain unauthorized access to systems, accounts, or data; circumvent security or permission controls; introduce malware, viruses, or malicious code; conduct unauthorized automated scraping or extraction; interfere with system operation; impersonate another person; upload unlawful or infringing materials; access or use another client's information without authorization; or engage in fraudulent or unlawful conduct.
Third-Party Technology
The Client Hub may rely on third-party software, hosting infrastructure, integrations, payment processors, communications tools, automation services, and other technologies.
Availability may therefore be affected by third-party maintenance, outages, updates, policy changes, or service changes outside BrandLabs' reasonable control.
Availability
BrandLabs intends the Client Hub to provide convenient access to client resources but does not guarantee uninterrupted or error-free availability.
The Client Hub may occasionally be unavailable because of maintenance, updates, technical issues, security measures, or third-party service interruptions.
Portal Access and the Client Relationship
Access to the Client Hub is provided in connection with an authorized relationship with BrandLabs.
BrandLabs may modify, restrict, suspend, or terminate access when an engagement ends, a user is no longer authorized, an account presents a security concern, payment obligations are materially delinquent where permitted by the applicable agreement and law, or these Hub Terms are violated.
Access Following Termination
Clients are responsible for downloading materials they are entitled to retain before Client Hub access expires when BrandLabs provides a reasonable opportunity to do so.
BrandLabs may retain or archive project and account records according to its retention practices and contractual or legal obligations.
Termination of Client Hub access does not alter intellectual-property rights, confidentiality obligations, payment obligations, or other provisions intended to survive termination.
Privacy
Use of app.brandlabsco.com is subject to the BrandLabs Privacy Policy.
BrandLabs Terms of Service
The BrandLabs Terms of Service also apply to use of the Client Hub.
If these Hub Terms conflict with an executed Client Agreement concerning a client's purchased services, the executed Client Agreement will control with respect to that conflict.
Changes to These Hub Terms
BrandLabs may update these Hub Terms as the Client Hub, our technology, our business practices, or applicable requirements evolve.
The current version will display its "Last Updated" date, and material changes will be handled in accordance with applicable law.
